Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between Onpoint Finance ApS ("Onpoint", "we", "us"), a company registered in Denmark (CVR 46425170), and you ("Customer") when you sign up for or use the Onpoint platform. By creating an account you confirm that you have read, understood, and accept these Terms.

If you are accepting on behalf of a company, you represent that you have authority to bind that company to these Terms.

2. The Service

Onpoint is a B2B SaaS platform that extracts and analyses invoice line items, enabling department managers to track spend, compare supplier prices, and identify savings opportunities. The specific features available to you depend on your subscription plan.

We reserve the right to modify, add, or remove features at any time. Where a change materially reduces the service, we will give you at least 30 days notice.

3. Accounts

You must provide accurate, complete information when registering. You are responsible for all activity that occurs under your account. Keep your credentials secure and notify us immediately at support@onpoint.finance if you suspect unauthorised access.

Onpoint is intended for business use. Individual consumer accounts are not supported.

4. Acceptable Use

You agree not to:

  • Upload files you do not have the right to process.
  • Attempt to reverse-engineer, decompile, or extract proprietary elements of the platform.
  • Use the service to process personal data in a way that violates applicable law.
  • Resell, sublicense, or provide white-label access to the platform without our written consent.
  • Transmit malware, spam, or any content that could harm the platform or other users.
  • Use automated means to scrape or extract data beyond what the API permits.

5. Your Data

You retain full ownership of all invoice files and data you upload. By using the service you grant Onpoint a limited licence to process that data solely to provide the service.

We do not use your invoice data or extracted line-item data to train AI or machine-learning models. We do not sell your data to third parties. See our Privacy Policy for full details.

On account termination you may export your data for 30 days. After that period we will delete your data in accordance with our Privacy Policy.

6. Subscriptions and Payment

Onpoint offers a free tier and paid subscription plans. Paid plans are billed monthly or annually in advance. All fees are stated exclusive of VAT; Danish VAT (25%) or equivalent will be added where applicable.

If payment fails we will notify you and give you a 7-day grace period before suspending access. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We do not issue refunds for unused portions of a paid period, except where required by law.

We may adjust pricing with 30 days written notice. Price changes will not apply until your next renewal date.

7. Intellectual Property

Onpoint and all associated software, design, and content are owned by Onpoint Finance ApS or its licensors. Nothing in these Terms transfers any intellectual property rights to you.

You grant us a non-exclusive licence to use your company name and logo to identify you as a customer, for example on our website. You can revoke this at any time by emailing hello@onpoint.finance.

8. Confidentiality

Each party agrees to keep the other's confidential information (including pricing, product roadmap, and financial data) strictly confidential and not to disclose it to third parties without prior written consent, except as required by law.

9. Disclaimers and Warranties

Onpoint is provided "as is" and "as available". We make reasonable efforts to maintain high availability and accuracy, but we do not warrant that the service will be error-free, uninterrupted, or that extracted data will be 100% accurate. You are responsible for verifying extracted invoice data before acting on it.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Onpoint's total cumulative liability arising from or related to these Terms or the service - whether in contract, tort, or otherwise - is limited to the fees you paid in the 12 months preceding the claim.

Neither party is liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or business opportunities, even if advised of the possibility of such damages.

11. Termination

Either party may terminate the agreement with 30 days written notice. We may terminate immediately if you materially breach these Terms and fail to cure the breach within 14 days of notice.

On termination, your right to access the service ends. Sections 5 (Your Data), 7 (Intellectual Property), 8 (Confidentiality), 10 (Limitation of Liability), and 12 (Governing Law) survive termination.

12. Governing Law and Disputes

These Terms are governed by Danish law. Any dispute arising under or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Copenhagen, Denmark, unless mandatory consumer protection laws in your country of residence apply.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app notice at least 30 days before they take effect. Continued use of the service after that date constitutes acceptance of the updated Terms.
